Through the Shareholder Rights Directive (SRD) II Group, ISLA is working with its members and other key stakeholders to review the directive and supplementing regulation, in order to create and harmonise industry best practice. This group looks at both the legal implications of SRD II to securities lending agreements, as well as the operational implications, such as defining the ‘shareholder’ in various Member States national law by ensuring market practice is in line with the objective to encourage long-term shareholder engagement and improved corporate governance.
